Affiliate Program Terms and Conditions
Welcome to Charlie’s Kitchen Affiliate Program! These terms and conditions (“Agreement”) govern your participation in our affiliate program. By applying for and participating in this program, you agree to abide by the terms outlined below.
1. Eligibility and Application Process
- Applicants must be at least 18 years old.
- All applicants must submit an application and be approved before promoting Charlie’s Kitchen products.
2. Commission Structure
- Affiliates earn a 10% commission on the total order value, including the product price, but excluding taxes.
- Commissions are perpetual for orders placed using the affiliate’s referral link.
3. Cookie Duration
- Referral tracking has no expiration. Once a visitor clicks your affiliate link, you retain credit for their purchase regardless of when they buy.
4. Payment Terms
- Commissions earned during a calendar quarter are paid within 10 days following the end of the subsequent quarter (e.g., commissions earned January–March are paid by April–June quarter-end, within 10 days). This delay allows time for refunds and returns to be processed before commissions are finalized.
- Payments are issued via PayPal or Stripe.
- There is no minimum payout threshold initially.
- Affiliates must provide a completed W-9 form before receiving any commission payouts.
5. Refunds, Returns, and Cancellations
- Commissions are forfeited for orders that are refunded, canceled, or returned.
6. Promotional Guidelines
- Affiliates may promote Charlie’s Kitchen products on:
- Social media platforms (e.g., Facebook, Instagram).
- Paid advertising (e.g., Google Ads, Meta Ads).
- Prohibited Channels:
- Discount and coupon aggregator sites (e.g., RetailMeNot). Affiliate-specific codes provided directly by Charlie’s Kitchen may be shared privately with your own audience but may not be listed on third-party coupon or deal-aggregator sites.
- Affiliates may not bid on “Charlie’s Kitchen,” any misspellings, or confusingly similar variations as keywords in paid search advertising (e.g., Google Ads, Meta Ads).
- Affiliates cannot make health or inappropriate claims about the products.
- Affiliates must submit all advertising content for prior approval to Charlie’s Kitchen at admin@charlieskitchenstl.com.
- Affiliates may use Charlie’s Kitchen logos, images, or trademarks, provided they have obtained prior approval.
- Affiliates must comply with FTC Endorsement Guidelines and clearly disclose their affiliate relationship (e.g., “#ad” or “affiliate link”) in any post, video, or content promoting Charlie’s Kitchen products.
7. Email Marketing
- Affiliates are permitted to promote via email marketing, provided they comply with CAN-SPAM and GDPR regulations.
8. Account Inactivity
- Affiliate accounts will be terminated if inactive for 6 months.
- An inactive account is defined as an account that does not generate any referral clicks or sales during this period.
- Upon termination due to inactivity, affiliate links will be deactivated.
9. Termination of Affiliate Account
- Charlie’s Kitchen reserves the right to terminate an affiliate’s account for:
- Fraud.
- Violation of these terms.
- Inactivity.
- Customer complaints or unapproved claims.
- If an account is terminated for cause, pending commissions will not be paid.
10. Affiliate Responsibility
- Affiliates are considered independent contractors and are responsible for their own taxes on earned commissions.
- Affiliates are responsible for adhering to all laws, regulations, and marketing guidelines.
11. Liability Limitations
- Charlie’s Kitchen is not liable for any damages, losses, or issues arising from participation in the affiliate program.
12. Program Modifications
- Charlie’s Kitchen reserves the right to modify these terms with 30 days’ written notice via email or in writing.
- Continued participation in the program after modifications constitutes acceptance of the updated terms.
13. Affiliate Tracking and Reporting
- Affiliates will have access to a personalized portal where they can:
- Track referral clicks.
- View commission earnings.
- Monitor performance.
14. Performance Bonus
- Affiliates who earn $1,000 in commissions in a single quarter will receive a 2% bonus on their total quarterly sales.
- For example, $10,000 in gross sales in one quarter would result in a $200 bonus.

15. Agreement
By participating in the Charlie’s Kitchen Affiliate Program, you agree to these terms and conditions. Any breach of these terms may result in immediate termination of your account.
